Welcome to FASA ("the Platform"), operated by FASA Daddy, LLC ("FASA," "we," "us," or "our"). By accessing or using fasadaddy.com, our mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). Please read them carefully.

If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you represent that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

FASA is a digital platform designed to support expectant and new fathers through the pregnancy journey and early fatherhood. The Services include:

• Weekly educational content covering pregnancy stages, fetal development, and partner support
• AI-powered coaching through our Cap feature
• Community forums for expectant and new fathers (the Locker Room)
• Practical tools including hospital bag builder, appointment companion, birth plan builder, contraction timer, financial checklist, and name list
• Daily reflections, missions, and Field Guide educational content
• Push notifications and personalized content based on pregnancy week

FASA provides general informational and educational content only. The Services are not a substitute for professional medical, legal, financial, or psychological advice. Always consult qualified professionals for matters affecting your health, your partner's health, or your child's health.

3. Account Registration

3.1 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@fasadaddy.com if you suspect unauthorized access to your account.

3.3 One Account Per User

You may only maintain one active account. Creating multiple accounts to circumvent restrictions, obtain additional free trial periods, or for any other reason is prohibited.

4. Subscription and Payment

4.1 Free Tier

FASA offers a free tier providing limited access to the Services, including a defined number of weeks of content, Field Guide entries, Cap check-ins, and community read access. No credit card is required for the free tier. The scope of the free tier is subject to change at our discretion with notice to users.

4.2 Paid Subscription

Full access to the Services requires a paid subscription. Current subscription plans, pricing, and features are displayed on our pricing page at fasadaddy.com and within the Services at the time of purchase. We reserve the right to modify pricing at any time with advance notice to existing subscribers. Any price changes will take effect at your next renewal date.

4.3 Free Trial

We may offer a free trial period for paid subscription features. The length of any free trial will be disclosed at the time of sign-up. At the end of the trial period, your payment method will be charged the applicable subscription fee unless you cancel before the trial ends. We reserve the right to modify or discontinue free trial offers at any time.

4.4 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period at the then-current subscription rate unless you cancel prior to the renewal date. You authorize us to charge your payment method on file for each renewal period.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at support@fasadaddy.com. Cancellation takes effect at the end of the current billing period — you will retain access to paid features through the end of the period you have paid for. We do not provide refunds for partial billing periods except where required by applicable law. If you believe you were charged in error, contact us at support@fasadaddy.com within 30 days of the charge.

4.6 Payment Processing

Payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card details on our servers. All transactions are encrypted and processed securely.

4.7 Taxes

You are responsible for any applicable taxes associated with your subscription. We will charge tax where required by law.

5. Acceptable Use

5.1 Permitted Use

You may use the Services for lawful, personal, non-commercial purposes in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Post content that is abusive, harassing, threatening, defamatory, obscene, or otherwise objectionable
• Share content that contains personal information about other individuals without their consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any portion of the Services or any other systems connected to the Services
• Use automated scripts, bots, crawlers, or scrapers to access the Services
• Sell, resell, license, or commercially exploit the Services or any content obtained through the Services without our express written permission
• Interfere with or disrupt the integrity or performance of the Services or servers or networks connected to the Services
• Upload or transmit viruses, malware, or any other malicious or harmful code
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Collect or harvest any personally identifiable information from the Services without authorization
• Use the Services in any manner that could damage, disable, overburden, or impair the Services

6. Community Guidelines (The Locker Room)

The Locker Room is a community space for expectant and new fathers. By participating, you agree to:

• Treat all community members with respect and dignity
• Keep discussions relevant to fatherhood, pregnancy, and family life
• Not present yourself as a medical, legal, financial, or psychological professional if you are not
• Not post commercial solicitations, spam, affiliate links, or promotional content without our express permission
• Not share identifying personal information about your partner, child, or other individuals without their consent
• Not engage in discrimination, harassment, bullying, or hate speech of any kind
• Not post content that violates any applicable law or third-party rights

We reserve the right, but not the obligation, to monitor community content and to remove any content that violates these guidelines at our sole discretion. We reserve the right to suspend or terminate the accounts of users who repeatedly or egregiously violate community guidelines. We do not guarantee the accuracy, completeness, or reliability of information shared by community members and are not responsible for community content.

7. Cap AI Coaching

The Cap feature uses artificial intelligence to provide coaching, reflections, and personalized responses. You acknowledge and agree that:

• Cap is an AI-powered tool and not a licensed therapist, counselor, psychologist, or medical professional
• Interactions with Cap do not constitute a professional relationship and are not confidential in the legal or clinical sense
• Cap's responses are generated by artificial intelligence and may not always be accurate, complete, appropriate, or applicable to your specific situation
• You should not rely on Cap as a substitute for professional mental health, medical, legal, or financial advice
• FASA is not liable for any decisions made or actions taken in reliance on Cap's responses
• If you are experiencing a mental health crisis, suicidal ideation, or a medical emergency, please contact a qualified professional or emergency services immediately

8. Content and Intellectual Property

8.1 Our Content

All content provided through the Services — including but not limited to Field Guide entries, weekly educational content, Cap coaching content, tool templates, platform design, graphics, and copy — is owned by or licensed to FASA Daddy, LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content solely for your personal, non-commercial use in connection with the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any content without our express written permission.

8.2 Your Content

You retain ownership of content you submit to the Services, including community posts, reflection responses, and tool inputs ("User Content"). By submitting User Content, you grant FASA a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and modify your User Content solely in connection with operating and improving the Services. You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable law.

8.3 DMCA

If you believe content on the Services infringes your copyright, please send a notice to support@fasadaddy.com with the subject line "DMCA Notice" including: a description of the copyrighted work, the location of the allegedly infringing material, your contact information, a statement of good faith belief, and your signature.

8.4 Feedback

Any feedback, suggestions, ideas, or other input you provide regarding the Services ("Feedback") may be used by FASA Daddy, LLC without restriction, compensation, or attribution to you. You hereby assign to FASA Daddy, LLC all rights in and to any Feedback.

9. Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of information as described in our Privacy Policy.

10. Third-Party Services and Links

The Services may integrate with or link to third-party services, including but not limited to Stripe for payment processing, Supabase for data infrastructure, and OneSignal for push notifications. Your use of third-party services is governed by their respective terms of service and privacy policies. FASA is not responsible for the content, practices, or policies of any third-party services. We do not endorse any third-party services and make no representations or warranties regarding them.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FASA DADDY, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FASA DADDY, LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.

THE SERVICES ARE INTENDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THE SERVICES ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL OR PSYCHOLOGICAL CONDITION. NOTHING IN THE SERVICES CONSTITUTES MEDICAL, PSYCHOLOGICAL, LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE OF ANY KIND. ALWAYS SEEK THE ADVICE OF QUALIFIED PROFESSIONALS WITH ANY QUESTIONS YOU MAY HAVE REGARDING YOUR HEALTH, YOUR PARTNER'S HEALTH, YOUR CHILD'S HEALTH, OR ANY OTHER PROFESSIONAL MATTER.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FASA DADDY, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, THE COST OF SUBSTITUTE SERVICES, OR PERSONAL OR BODILY INJURY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF FASA DADDY, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FASA DADDY, LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO FASA IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, AND OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless FASA Daddy, LLC and its members, managers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of a third party; or (e) your violation of any applicable law or regulation.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@fasadaddy.com or through your account settings. Termination does not entitle you to a refund of any prepaid subscription fees except as required by applicable law.

14.2 Termination by FASA

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including for violation of these Terms. We may also discontinue the Services or any portion thereof at any time.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

15.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact us at support@fasadaddy.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

15.3 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as provided in Section 15.5. The arbitration shall be conducted in North Carolina or, at your election, by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

YOU AND FASA DADDY, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF THIS WAIVER IS FOUND UNENFORCEABLE, THEN THE ARBITRATION AGREEMENT IN SECTION 15.3 SHALL BE NULL AND VOID.

15.5 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in North Carolina for matters involving intellectual property rights, confidentiality obligations, or to prevent imminent harm. You may also bring an individual action in small claims court if your claim qualifies.

15.6 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

16. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes by posting the updated Terms on the Services, updating the effective date at the top of this document, and where appropriate, providing additional notice such as an in-app notification or email. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and FASA with respect to the Services and supersede all prior agreements, representations, and understandings.

17.2 Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of FASA to be effective.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. FASA Daddy, LLC may freely assign these Terms without restriction.

17.5 Force Majeure

FASA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, labor disputes, or governmental actions.

17.6 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.
